No ownership rights are transferred. 2. Individual License Grant Subject to compliance with this Agreement, Licensee may: Use the Work in online videos and streaming content Use in independent creative projects Monetize content incorporating the Work Use on social media platforms Attribution is optional but appreciated: “YoiYami Princess / Myu Milky” 3. Prohibited Uses Licensee may not: Redistribute, resell, sublicense, or share the audio file Claim authorship or ownership Register the Work with any Content ID system Upload the Work to streaming distribution services Use for AI training or machine learning datasets Use in unlawful, defamatory, political campaign, or religious advocacy contexts 4. Corporate License Requirement A separate Corporate License is required for: Use by a registered company or legal entity Commercial advertising or sponsored campaigns Television, film, or broadcast usage Commercial software, games, or applications Projects generating over USD $7,000 annually Agency-managed or talent-agency-affiliated use Sole proprietors conducting branded commercial work are treated as corporate users. 5. Unauthorized Corporate Use If corporate use occurs without proper licensing, Licensor may demand: Immediate cessation of use Payment of the applicable Corporate License fee Liquidated damages of USD $6,500 If actual damages exceed this amount, Licensor reserves the right to pursue additional damages, including statutory damages and attorneys’ fees where permitted by applicable law. 6. DMCA and Global Enforcement Licensor reserves the right to issue DMCA takedown notices or equivalent copyright enforcement actions worldwide. 7. Limitation of Liability The Work is provided “AS IS” without warranties of any kind. Licensor shall not be liable for indirect, incidental, consequential, or punitive damages arising from use of the Work. 8. Indemnification Licensee agrees to indemnify and hold harmless Licensor from claims, liabilities, damages, and legal expenses arising from breach of this Agreement. 9. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of New York, United States of America, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply. 10. International Arbitration Any dispute, controversy, or claim arising out of or relating to this Agreement, including its validity, breach, termination, or interpretation, shall be finally resolved by binding arbitration. Arbitration shall be administered by the American Arbitration Association (AAA) under its International Centre for Dispute Resolution (ICDR) Rules. Seat of Arbitration: New York, USA Language: English Number of Arbitrators: One The arbitral award shall be final and binding and may be enforced in any court of competent jurisdiction under the New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards. Each party shall bear its own legal fees unless otherwise awarded by the arbitrator. 11. Injunctive Relief Notwithstanding the arbitration clause, Licensor may seek immediate injunctive relief in any competent court to prevent unauthorized use or copyright infringement. 12. Severability If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.
