IMPORTANT: PLEASE READ CAREFULLY BEFORE PURCHASING, DOWNLOADING, OR USING THIS 3D MODEL DATA. BY PURCHASING, DOWNLOADING, ACCESSING, OR USING THIS MODEL DATA, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT DOWNLOAD OR USE THE DATA. Article 1【Grant of License & Permitted Uses】 Subject to your strict compliance with these Terms, the Creator grants you a non-exclusive, non-transferable, revocable in the event of breach license to use the 3D model data ("the Data") solely for the following purposes 1.1. **Avatar Use** アバターの使用 :You may use the Data as an avataron various virtual platforms. (e.g., VRChat, VTuber streaming, and integration into game engines for personal or permitted commercial projects) 1.2. **Modification** 改変 :You may modify the Data by the Licensee. You may outsource modifications to a third-party contractor, provided that such contractor shall not retain, publish, use, or redistribute the Data beyond the scope necessary for the modification work. 1.3. **Individual Commercial Use** 個人による商用利用 :Commercial use by individuals is permitted, provided that proper credit or attribution to the Creator is clearly displayed. 1.4. **Format Conversion** フォーマット変換 :Conversion of the Data into other formats (such as ".vrm" or ".pmx") for use in permitted platforms and applications. No technical support is provided for this process. 1.5. **Adult Content** 成人向けコンテンツ :Use in adult-oriented, sexually explicit, or violent content (NSFW/R-18/R-18G) is permitted, strictly subject to compliance with the terms of service of the respective platform where it is used. Under no circumstances may the Data be used to generate or depict illegal content, including but not limited to child sexual abuse material (CSAM) or non-consensual explicit content. Article 2【Prohibited Acts】 You are strictly prohibited from engaging in any of the following acts. 2.1. **Unauthorized Distribution** 無断配布/抽出 :Uploading, sharing, or publishing the Data in a manner that allows third parties (other than the purchaser) to extract, copy, clone, download, or access it via shared links. This includes, but is not limited to, setting the avatar visibility to "Public" in VRChat, or extracting the mesh for 3D printing purposes. 2.2. **Resale & Redistribution** 再販/再配布 :Secondary distribution, resale, transfer, or sublicensing of the Data, whether modified or unmodified, as a standalone asset or as part of a larger project or asset pack. 2.3. **AI Training** AI学習 :Using the Data, or any images, videos, or audio captured from it, as training data for generative artificial intelligence (AI), machine learning, or data mining technologies (including but not limited to the creation of LoRA, checkpoints, or other model weights, or for style mimicry). Automated scraping or crawling of the Data for AI-related purposes is also strictly prohibited. 2.4. **Infringement** 権利侵害 :Infringing upon the intellectual property rights (including copyrights, patents, and trademarks), moral rights, privacy rights, portrait rights, or any other rights of the Creator or any third party. 2.5. **Illegal & Political Use** 違法/政治的利用 :Using the Data for illegal activities, or for propaganda related to specific political, extremism, ideological, or religious causes. 2.6. **Copyright Fraud** 著作権詐欺/詐称 :Falsely claiming authorship of the Data, including selling or distributing modified versions under the claim that you created them from scratch, or registering the Data (or its derivatives) with any copyright office, Content ID system, or similar rights-management platform. 2.7. **Use by Legal Entities** 法人利用 :Use of the Data by any entity other than a natural person (including but not limited to corporations, government agencies, and educational institutions), whether commercial or non-commercial, without the prior written consent of the Creator. 2.8. **Others**その他 :In addition, any and all conduct that the rights holder deems inappropriate based on social norms. Article 3.【Disclaimer of Warranties & Limitation of Liability】免責事項 THE DATA IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE CREATOR BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE DATA OR THE USE OF THE DATA. Article 4.【Ownership of Rights】 4.1. **Non-Transfer of Rights** 権利の不移転 :All intellectual property rights, including but not limited to copyrights, in and to the Data (including modified versions) shall remain exclusively with the Creator or the respective original rights holders. No ownership rights are transferred to you under these Terms. 4.2. **Precedence of Third-Party Licenses** 第三者ライセンスの優先 :If the Data contains third-party open-source software, shaders, scripts, or assets, their respective license terms shall take precedence over these Terms regarding those specific portions. Article 5.【Indemnification and Dispute Resolution】補償および紛争解決 5.1. **User’s Indemnification Obligation** ユーザーの補償義務 :To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless the Creator from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms or your misuse of the Data. 5.2. **Resolution of Third-Party Disputes** 第三者との紛争の解決 :If any dispute arises between the Creator and a third party due to your violation of these Terms, you shall resolve such dispute at your own responsibility and expense. Furthermore, you must comply with any instructions provided by the Creator regarding the method and manner of resolving such dispute. Article 6.【Supplementary Provisions】 6.1. **Use by Corporate Entities** 法人による利用 :Any utilization of the Data by corporate entities, whether for commercial or non-commercial purposes, shall require prior written permission from the Creator. 6.2. **Definition of Individual** 個人の定義 :Under these Terms, an "Individual" refers to all users excluding corporate entities (organizations with corporate status).Individuals operating businesses that have been incorporated (such as incorporated companies, etc.) shall not be included in the definition of "Individual." 6.3. **Definition of Commercial Use** 商用利用の定義 :Any act by the User to obtain direct monetary gain or revenue by uploading content on social media or other digital platforms using the Data in any form shall be deemed commercial use and shall shall require attribution to the Creator. (This includes, but is not limited to, posting to monetized YouTube accounts or verified X accounts.) 6.4. **Amendments to these Terms** 本規約の改定 :These Terms may be amended by the Creator, and the latest version shall always apply. When making amendments to these Terms, the Creator shall make reasonable efforts to provide users with reasonable prior notice of such amendments by appropriate means. Article 7.【Governing Law & Jurisdiction】準拠法および管轄裁判所 7.1. **Governing Law**準拠法 : These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law principles. 7.2. **Jurisdiction**管轄裁判所 : Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court in Tokyo, Japan as the court of first instance. Article 8.【Severability】可分性 :If any provision of these Terms is held to be invalid, illegal, or unenforceable in any jurisdiction, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.
