In case of any difference between the versions, the ENGLISH version prevails. --------------------------------------------------------------------- ENGLISH --------------------------------------------------------------------- By importing, installing or using this product (the "Product") you agree to this agreement with Zenith Tools ("Licensor"). If you do not agree, do not use the Product and delete all copies. 1. DEFINITIONS "Product": the Unity package, scripts, shaders, prefabs, documentation and every other file delivered by Zenith Tools under the name "Admin Tablet", including any updates you receive. "Licensee": the single individual who purchased the Product. "Public World": any world published on VRChat (or any other platform) with Public or Community Labs visibility, or otherwise made available to the general public. 2. GRANT OF LICENSE Zenith Tools grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable license to install and use the Product, on your own computers, for your own development, testing and use in worlds that are NOT Public Worlds. One purchase = one license = one person. 3. RESTRICTIONS You may NOT, without the prior written consent of Zenith Tools: a) share, give, lend, rent, leak, upload or otherwise make the Product, or any part of it, available to anyone else (including friends, team members, collaborators, Discord servers, file-sharing sites, forums or stores); b) sell, resell, trade or distribute the Product or any part of it, alone or bundled with other products, for free or for payment; c) redistribute project files, packages, prefabs or scenes that contain the Product or any part of it, except for the compiled world you upload as allowed in section 2; d) use the Product, or any part of it, in a Public World; e) reverse engineer, decompile, extract, repackage or create derivative products from the Product in order to sell, share or distribute them; f) remove or alter the copyright notices and license files; g) use the Product to build a product or service that competes with it. Collaborators who need to use the Product must buy their own license. 4. OWNERSHIP The Product is licensed, not sold. Zenith Tools keeps all rights, title and interest, including all intellectual property rights, in the Product. No rights are granted except those expressly stated here. 5. PERMISSION FOR OTHER USES To request consent for any use not allowed by this agreement (for example, use in a Public World or a commercial/team license), contact Zenith Tools through the store where you bought the Product. Consent is valid only if it is given in writing. 6. TERMINATION This license ends automatically if you breach any term. You must then stop using the Product and delete all copies. Zenith Tools may take any legal action available to protect its rights. 7. NO WARRANTY The Product is provided "AS IS", without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Zenith Tools does not guarantee that the Product will be error-free or compatible with every version of Unity, the VRChat SDK or UdonSharp. 8. LIMITATION OF LIABILITY To the maximum extent permitted by law, Zenith Tools is not liable for any indirect, incidental or consequential damages, loss of data or loss of profits arising from the use of the Product. Total liability is limited to the price you paid for the Product. You are responsible for how you use the moderation features (freeze, mute, ban, teleport, camera) and for following the VRChat Terms of Service and Community Guidelines. 9. THIRD-PARTY TRADEMARKS VRChat, Unity and UdonSharp belong to their respective owners. Zenith Tools is not affiliated with or endorsed by them. 10. GENERAL This agreement is governed by the laws applicable in the jurisdiction where Zenith Tools is established. If any part is found unenforceable, the rest remains in effect. This is the entire agreement about the Product and may only be changed in writing by Zenith Tools. --------------------------------------------------------------------- ESPAÑOL --------------------------------------------------------------------- Al importar, instalar o usar este producto (el "Producto") aceptas este acuerdo con Zenith Tools ("Licenciante"). Si no estas de acuerdo, no uses el Producto y borra todas las copias. 1. DEFINICIONES "Producto": el paquete de Unity, scripts, shaders, prefabs, documentacion y cualquier otro archivo entregado por Zenith Tools bajo el nombre "Admin Tablet", incluyendo las actualizaciones que recibas. "Licenciatario": la unica persona fisica que compro el Producto. "Mundo Publico": cualquier mundo publicado en VRChat (u otra plataforma) con visibilidad Publica o Community Labs, o puesto a disposicion del publico en general. 2. CONCESION DE LA LICENCIA Zenith Tools te concede una licencia limitada, personal, no exclusiva, no transferible, no sublicenciable y revocable para instalar y usar el Producto, en tus propios equipos, para tu propio desarrollo, pruebas y uso en mundos que NO sean Mundos Publicos. Una compra = una licencia = una persona. 3. RESTRICCIONES NO puedes, sin el consentimiento previo y por escrito de Zenith Tools: a) compartir, regalar, prestar, alquilar, filtrar, subir o poner de cualquier otra forma el Producto, o cualquier parte, a disposicion de otras personas (incluidos amigos, miembros de equipo, colaboradores, servidores de Discord, sitios de archivos, foros o tiendas); b) vender, revender, intercambiar o distribuir el Producto o cualquier parte, solo o dentro de otros productos, gratis o de pago; c) redistribuir archivos de proyecto, paquetes, prefabs o escenas que contengan el Producto o parte de el, salvo el mundo compilado que subas segun lo permitido en la seccion 2; d) usar el Producto, o cualquier parte, en un Mundo Publico; e) aplicar ingenieria inversa, descompilar, extraer, reempaquetar o crear productos derivados del Producto para venderlos, compartirlos o distribuirlos; f) quitar o alterar los avisos de copyright y los archivos de licencia; g) usar el Producto para crear un producto o servicio que compita con el. Los colaboradores que necesiten usar el Producto deben comprar su propia licencia. 4. PROPIEDAD El Producto se licencia, no se vende. Zenith Tools conserva todos los derechos, titulo e intereses, incluidos los derechos de propiedad intelectual. No se concede ningun derecho salvo los indicados expresamente. 5. Este es el acuerdo completo sobre el Producto y solo puede modificarlo Zenith Tools por escrito. --------------------------------------------------------------------- 日本語（参考訳） --------------------------------------------------------------------- 本製品（以下「本製品」）をインポート、インストール、または使用することにより、 Zenith Tools（以下「許諾者」）との本契約に同意したものとみなされます。同意 しない場合は、本製品を使用せず、すべてのコピーを削除してください。 1. 定義 「本製品」: Zenith Tools が「Admin Tablet」の名称で提供する Unity パッケージ、 スクリプト、シェーダー、プレハブ、ドキュメントおよびその他すべてのファイル （受領したアップデートを含みます）。 「使用者」: 本製品を購入した個人1名。 「公開ワールド」: VRChat（またはその他のプラットフォーム）で Public または Community Labs の公開範囲で公開されているワールド、もしくは一般に利用可能な ワールド。 2. ライセンスの付与 Zenith Tools は、使用者に対し、本製品を自身のコンピューターにインストール し、自身の開発・テスト、および公開ワールド「以外」のワールドで使用するための、 限定的・個人的・非独占的・譲渡不可・再許諾不可・取消可能なライセンスを 付与します。1回の購入 = 1ライセンス = 1人です。 3. 禁止事項 Zenith Tools の事前の書面による同意なく、次の行為を行ってはなりません。 a) 本製品またはその一部を、他者（友人、チームメンバー、共同作業者、 Discordサーバー、ファイル共有サイト、フォーラム、ストアを含む）と共有、 譲渡、貸与、レンタル、流出、アップロードすること、またはその他の方法で 利用可能にすること。 b) 本製品またはその一部を、単独またはほかの製品に含めて、無償・有償を問わず 販売、再販売、交換、配布すること。 c) 本製品またはその一部を含むプロジェクトファイル、パッケージ、プレハブ、 シーンを再配布すること（第2条で認められる、アップロードしたコンパイル済み ワールドを除く）。 d) 本製品またはその一部を公開ワールドで使用すること。 e) 販売・共有・配布を目的として、本製品をリバースエンジニアリング、逆コンパイル、 抽出、再パッケージ化、または派生製品の作成を行うこと。 f) 著作権表示およびライセンスファイルを削除または改変すること。 g) 本製品と競合する製品またはサービスを作るために本製品を使用すること。 本製品を使用する必要のある共同作業者は、各自でライセンスを購入する必要が あります。 4. 権利の帰属 本製品は販売ではなく、使用許諾されるものです。知的財産権を含む本製品に関する すべての権利は Zenith Tools に帰属します。本契約で明示された以外の権利は 付与されません。 5. その他の利用の許可 本契約で認められていない利用（例: 公開ワールドでの使用、商用／チーム ライセンス）について同意を求める場合は、本製品を購入したストアを通じて Zenith Tools にご連絡ください。同意は書面で行われた場合にのみ有効です。 6. 契約の終了 使用者が本契約のいずれかの条項に違反した場合、本ライセンスは自動的に終了 します。その場合、本製品の使用を中止し、すべてのコピーを削除しなければ なりません。Zenith Tools は、自己の権利を守るために可能な法的措置を取ること ができます。 7. 無保証 本製品は「現状有姿」で提供され、商品性、特定目的への適合性、非侵害を含む、 明示または黙示のいかなる保証もありません。Zenith Tools は、本製品にエラーが ないこと、またはすべてのバージョンの Unity、VRChat SDK、UdonSharp と互換性が あることを保証しません。 8. 責任の制限 法律で認められる最大限の範囲で、Zenith Tools は、本製品の使用に起因する間接 的、付随的、結果的損害、データの損失、または逸失利益について責任を負いません。 責任の総額は、使用者が本製品に支払った金額を上限とします。管理機能（凍結、 ミュート、BAN、テレポート、カメラ）の使い方、および VRChat の利用規約・ コミュニティガイドラインの遵守は、使用者の責任です。 9. 第三者の商標 VRChat、Unity、UdonSharp は、それぞれの所有者に帰属します。Zenith Tools は これらの所有者と提携しておらず、承認も受けていません。 10. 一般条項 本契約は、Zenith Tools が所在する法域の適用法に準拠します。条項の一部が 執行不能と判断された場合でも、残りの部分は引き続き有効です。本契約は本製品に 関する完全な合意であり、Zenith Tools の書面によってのみ変更できます。 ===================================================================== (c) 2026 Zenith Tools.
