END USER LICENSE AGREEMENT (EULA) Syx Styles – Digital 3D Clothing Assets Last Updated: March 6, 2026 This End User License Agreement (“Agreement” or “EULA”) is a legally binding agreement between Syx Styles, STYLES NYC (“Licensor”, “we”, “us”, or “our”) and the purchaser or user (“Licensee”, “you”, or “your”) governing the purchase, download, installation, and use of digital assets distributed by Syx Styles. These assets include but are not limited to: 3D clothing models meshes textures materials rigged assets prefabs associated digital files (collectively referred to as the “Assets”). By purchasing, downloading, installing, or using the Assets, you agree to be bound by this Agreement. If you do not agree with the terms of this Agreement, you must not download or use the Assets. 1. Ownership and Intellectual Property All Assets are the exclusive intellectual property of Syx Styles. The Assets are protected under: United States Copyright Law (Title 17 U.S.C.) the Digital Millennium Copyright Act (DMCA) international copyright treaties and intellectual property laws. This Agreement does not transfer ownership of the Assets to the Licensee. Purchasing an Asset grants only a limited license to use the Asset, subject to the restrictions in this Agreement. All rights not expressly granted are reserved by Syx Styles. 2. License Grant Upon purchase, Syx Styles grants the Licensee a: non-exclusive non-transferable non-sublicensable revocable single-user license to download and use the Assets strictly for personal, non-commercial use. This license allows the Licensee to: use the Assets in personal avatars use the Assets in personal digital projects use the Assets in private environments where the files are not distributed. This license does not permit redistribution, resale, modification, or commercial use. 3. Single-User License Each purchase grants a license to one individual user only. You may not: share the Assets with friends share the Assets with collaborators share the Assets with team members upload the Assets to shared drives provide the Assets to clients distribute the Assets through Discord servers or communities. Each user who wishes to use the Assets must purchase their own license. 4. Authorized Sellers and Official Distribution Syx Styles is the sole creator and rights holder of the Assets. Assets may be distributed through multiple storefronts or brand identities owned or operated by the Licensor. Authorized storefront identities may include but are not limited to: Syx Styles SyxShogun These identities are official distributors of Syx Styles products. No other individual, store, website, or marketplace is authorized to sell or distribute Syx Styles Assets without written permission. Any unauthorized listing or sale of the Assets constitutes copyright infringement. Syx Styles reserves the right to issue enforcement actions including: DMCA takedown notices marketplace enforcement reports legal action where applicable. 5. Prohibited Uses The following uses are strictly prohibited. Redistribution You may not: upload the Assets to any website distribute the Assets to others share the Assets privately or publicly upload the Assets to file-sharing platforms distribute the Assets through Discord or community servers include the Assets in downloadable avatars. The Assets may never be distributed as standalone files or extractable assets. Resale You may not: sell the Assets resell the Assets sublicense the Assets include the Assets in asset packs include the Assets in paid avatars include the Assets in commercial products. Modification The Assets must be used exactly as provided. Licensees may not: modify meshes modify textures re-rig the models alter materials edit or adapt the Assets in any way. Derivative works are strictly prohibited. 6. Commercial Use Restrictions The license granted under this Agreement is strictly non-commercial. The Assets may not be used for: monetized videos monetized streaming paid avatar commissions paid avatars commercial game development advertising or promotional material NFT or blockchain projects. Commercial use requires a separate commercial license issued by Syx Styles. 7. Avatar Platform Restrictions The Assets may be used in personal avatars only if: the avatar is private the Assets are not extractable the avatar is not distributed. You may not: upload avatars containing the Assets as public avatars distribute avatars containing the Assets sell avatars containing the Assets share avatars containing the Assets. These restrictions apply to platforms including but not limited to: VRChat virtual world platforms avatar sharing services. 8. Artificial Intelligence Restrictions You may not use the Assets for: AI training datasets machine learning training generative AI systems dataset generation AI model development. Uploading the Assets to AI systems or training tools is strictly prohibited. 9. Reverse Engineering and Extraction You may not: reverse engineer the Assets attempt to extract protected files bypass protection systems distribute the Assets in extractable form. 10. License Verification Syx Styles may require proof of purchase or license verification. This may include: order numbers receipts license identifiers platform purchase verification. Failure to provide valid proof of purchase may result in license termination. 11. Digital Watermarking and Forensic Tracking Syx Styles reserves the right to embed digital watermarking or forensic identifiers in the Assets. These systems may be used to: trace unauthorized redistribution identify leaked copies enforce intellectual property rights. Attempting to remove or alter these identifiers is a violation of this Agreement. 12. Asset Leak Enforcement If unauthorized distribution of the Assets is detected, Syx Styles may investigate the source of the leak. If a Licensee is found responsible for leaking the Assets: their license will be immediately revoked they must delete all copies of the Assets. Syx Styles may pursue enforcement actions including DMCA takedowns and legal claims. 13. Chargeback Abuse Issuing a payment dispute or chargeback while retaining the Assets constitutes unauthorized use. If a chargeback occurs: the license will be revoked all copies of the Assets must be deleted future purchases may be denied. 14. DMCA Enforcement Syx Styles actively protects its intellectual property rights. Unauthorized distribution may result in: DMCA takedown notices platform copyright reports removal of listings legal claims where permitted by law. 15. Termination of License This license automatically terminates if you violate any part of this Agreement. Upon termination you must: cease all use of the Assets delete all copies of the Assets remove the Assets from any projects. 16. Disclaimer of Warranty The Assets are provided “AS IS” without warranties of any kind. Syx Styles makes no guarantees regarding: compatibility with software compatibility with platforms performance or functionality. 17. Limitation of Liability To the maximum extent permitted by law, Syx Styles shall not be liable for any: indirect damages incidental damages consequential damages loss of profits loss of data. 18. Indemnification You agree to indemnify and hold harmless Syx Styles from any claims, damages, liabilities, or expenses resulting from: misuse of the Assets violation of this Agreement violation of applicable laws. 19. Governing Law and Jurisdiction This Agreement shall be governed by the laws of the United States and the State of New York, without regard to conflict-of-law principles. Any legal disputes arising from this Agreement shall be resolved in the courts of the State of New York or the applicable federal courts of the United States. 20. Entire Agreement This Agreement constitutes the entire agreement between the Licensee and Syx Styles regarding the use of the Assets. If any provision of this Agreement is deemed unenforceable, the remaining provisions shall remain in full force and effect. 21. Acceptance of Terms By purchasing, downloading, installing, or using the Assets, you acknowledge that you: have read this Agreement understand this Agreement agree to be bound by its terms.
